Terms and Conditions

Neuroglia Health Private Limited (“N2D”, “we”, “us”, “our”) provides a comprehensive SI/AI-powered learning ecosystem for medical students and professionals through our platform (the “Platform”), which includes the website, mobile applications, and all associated services. These Terms and Conditions (“Terms”) govern your access to and use of the Platform. By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Definitions

• “Content” means all materials, including video lectures, notes, MCQs, diagrams, mnemonics, flowcharts, software, algorithms, data, and any other information or materials provided through the Platform.
• “N2D Features” means the unique proprietary features, including but not limited to Digital Twin, Concept Lab, Medical Current Affairs module, SI/AI Tutor, Smart Checklist, Precision Challenges, and any other tools or methodologies developed by N2D.
• “Services” means all educational and preparatory services offered on the Platform, including test series, doubt resolution, analytics, and personalised coaching.
• “User” means any natural or legal person who accesses or uses the Platform, whether as a guest, registered user, or subscriber.

2. Acceptance and Modifications

By using the Platform, you accept these Terms and our Privacy Policy. We may modify these Terms from time to time; the revised version will be posted on this page with an updated date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.

3. Eligibility

You must be at least 18 years old to create an account and subscribe to paid Services. If you are a minor, you may use the Platform only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. You also confirm that you are a medical student, graduate, or professional as set forth in our registration requirements. N2D reserves the right to verify your eligibility and suspend accounts that do not meet the criteria.

4. Account Registration and Security

You must provide accurate and complete information during registration and keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You may not share your account credentials with any third party. If we detect any unauthorised use or violation of these Terms, we may suspend or terminate your account without prior notice.

As part of the subscription process, you may be required to complete a Know Your Customer (KYC) verification by providing a valid government-issued ID. We process this information in compliance with applicable laws and our Privacy Policy.

5. N2D Services and Features

N2D provides an innovative, SI/AI-powered ecosystem designed to enhance medical education and examination preparation. The core Services include, but are not limited to:

• Digital Twin: A personalised academic coach that analyses your performance, identifies learning gaps, and recommends tailored actions.
• Concept Lab: A suite of interactive tools including mnemonic generators, flowchart builders, and diagram coaching with AI feedback – all proprietary to N2D.
• Medical Current Affairs: A daily-updated module covering recent medical news, FDA approvals, clinical trials, and relevant MCQs.
• MCQ Practice & Test Series: Extensive question banks, daily dominance challenges, and simulated exams for NEET PG, INI CET, USMLE, MRCP, and more.
• AI Tutor & Smart Assistance: 24/7 doubt resolution, personalised notes, and step‑by‑step guidance.
• Performance Analytics & Smart Checklists: SI/AI-driven insights to track progress, identify weak areas, and manage revision.

All N2D Features are proprietary and constitute valuable intellectual property. You acknowledge that the methods, algorithms, user interfaces, and content are original to N2D and are protected by copyright, trade secret, and other laws.

6. Intellectual Property Rights

All Content, N2D Features, and the Platform itself are the exclusive property of Neuroglia Health Private Limited or its licensors. You are granted a limited, personal, non‑transferable, revocable license to access and use the Platform solely for your personal, non‑commercial educational purposes. No other rights are granted.

You may not, directly or indirectly:

• Copy, reproduce, distribute, modify, reverse engineer, decompile, or create derivative works from any Content or N2D Features;
• Share, sell, or sublicense any portion of the Platform or Content;
• Record, screen-capture, or stream any video or audio content outside the Platform;
• Use any automated system (e.g., bots, scrapers) to access or collect data from the Platform;
• Copy or imitate the user interface, design, or algorithms of the Platform for any purpose;
• Use the N2D Features or methodologies to create a competing product or service.

Any unauthorised use or infringement of our intellectual property rights is a violation of these Terms and may result in immediate termination of your account and legal action.

7. Protection of Proprietary Features

N2D’s unique features, including Concept Lab, Digital Twin, Medical Current Affairs, and SI/AI Tutor, are the result of significant investment, research, and development. These Features are considered our trade secrets and confidential information. You agree not to disclose, share, or reproduce any information about these Features for any purpose other than your personal use of the Platform.

If you become aware of any unauthorised use, copying, or imitation of our Features by any third party, you agree to notify us immediately at legal@n2d.in.

Penalties for Infringement: Any violation of our intellectual property rights or misappropriation of our proprietary Features may subject you to legal liability under the Indian Copyright Act, 1957, the Information Technology Act, 2000, and other applicable laws. We reserve the right to seek injunctive relief, damages, and recovery of our legal costs and expenses.

8. Subscriptions and Payments

Access to premium Services requires a paid subscription. Fees, duration, and renewal terms are displayed on the Platform before purchase. All payments are processed through third‑party payment gateways; N2D is not responsible for payment failures. Subscriptions are non‑refundable, except as required by law. We may change pricing and plans at any time.

9. Fair Usage Policy

To ensure equitable access, each account has a maximum video viewing limit of 1,200 hours per subscription period. We monitor for suspicious activity, including multiple device logins, excessive downloads, or sharing of credentials. Violations may result in suspension or termination of your account without prior notice.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law;
• Post or transmit harmful, defamatory, obscene, or otherwise objectionable content;
• Impersonate any person or entity or misrepresent your affiliation;
• Attempt to gain unauthorised access to any other account or system;
• Interfere with the security or performance of the Platform;
• Engage in any form of cheating, including using external aids during timed assessments unless explicitly permitted.

11. Disclaimer of Warranties

The Platform and all Content are provided “AS IS” and “AS AVAILABLE” without any warranties of any kind. We do not warrant that the Platform will be uninterrupted, error‑free, or free from viruses. The Content is for educational purposes only and does not constitute medical advice. Always consult a qualified professional for clinical decisions.

12. Limitation of Liability

To the maximum extent permitted by law, N2D and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Platform. Our total liability shall not exceed the total fees paid by you in the six months preceding the claim.

13. Indemnity

You agree to indemnify and hold harmless N2D and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third‑party rights.

14. Confidentiality and Trade Secrets

You acknowledge that the N2D Features, including algorithms, methodologies, user interfaces, and business processes, are confidential and constitute trade secrets. You agree to maintain the confidentiality of such information and not to disclose it to any third party or use it for any purpose other than your personal use of the Platform. Unauthorised disclosure or use may result in legal action under applicable trade secret and intellectual property laws.

15. Termination

We may suspend or terminate your account at any time, with or without cause, and without prior notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activity. Upon termination, you must cease all use of the Platform and destroy any downloaded Content.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka. We encourage you to first contact us at legal@n2d.in to resolve any issues amicably.

17. Grievance Redressal

If you have any complaints or concerns regarding the Platform or these Terms, please contact our Grievance Officer:

We will respond within a reasonable time as required by applicable laws.

18. General Provisions

If any provision of these Terms is held invalid, the remaining provisions shall continue in full force. Our failure to enforce any right shall not constitute a waiver. These Terms, together with our Privacy Policy, constitute the entire agreement between you and N2D.
